SSM compliance in 2026: what every Sdn. Bhd. owner should check

A new SSM filing system, beneficial ownership in the annual return, a share-records update due by 14 January 2027 and reduced compounds until 31 December 2026. What to check now.

Several rules for a Malaysian Sdn. Bhd. have changed in the last two years. Some of the changes are in the law. Others are in how and where you file with the Companies Commission of Malaysia (SSM). Here is what matters in late 2026, with a checklist for the rest of the year. SSM has a new filing system On 14 July 2026, SSM launched Phase 1 of its Corporate Registry System (CRS). It replaces MyCoID and e-Secretary, and most documents that used to be lodged over the counter now go through CRS. You reach it through your SSM4U account. New users must verify their identity at an SSM counter or a Tap.it kiosk before the account is activated. SSM has extended its waiver of late lodgement fees for documents lodged through CRS until 31 December 2026. Annual returns and financial statements are still lodged through MBRS. SSM says CRS brings no fee changes. Annual returns and financial statements are not lodged through CRS. They still go through the Malaysian Business Reporting System (MBRS). Some companies must update their share records Practice Directive 11/2026 asks certain companies to resubmit their share capital and shareholder details so that CRS holds complete records. It applies to local companies whose members hold more than one type of share, and to all foreign companies. A local company with only ordinary shares, all issued on the same basis (for cash, or otherwise than cash), is not covered. The window runs from 14 July 2026 to 14 January 2027. There is no fee. If you are covered and do not lodge, you cannot use share-related services in CRS, such as recording a share allotment, until you do. Beneficial ownership is now part of routine filing The Companies (Amendment) Act 2024 came into force on 1 April 2024. It requires every company to keep a register of its beneficial owners: the individuals who ultimately own or control it. Under SSM's guidelines, this generally includes anyone holding 20% or more of the shares or voting shares, and anyone with ultimate effective control. The first lodgement window closed on 30 September 2024, and SSM said there would be no further extension. Any change must now be lodged through SSM's e-BOS system within 14 days of being recorded in the register. Late lodgement and rectification fees apply. A company and each officer in breach can be fined up to RM20,000 on conviction, plus up to RM500 a day if the offence continues. Beneficial owners also have duties. They must tell the company when they become, or stop being, a beneficial owner, and when their details change. Since 1 December 2024, the annual return must also include a beneficial ownership annexure. Bring e-BOS up to date before the annual return is lodged. The annual deadlines have not changed - Annual return: within 30 days of the anniversary of incorporation. - Financial statements (private company): circulated to members within six months of the financial year end, then lodged with SSM within 30 days of circulation. Both are lodged through MBRS. Reduced compounds until 31 December 2026 SSM ran a compliance campaign from 16 April to 30 September 2026 that cut compounds by 90% to 98.75%. For example, a RM5,000 compound for a late annual return or late financial statements was reduced to RM500. In October 2026, SSM extended the compound reduction period to 31 December 2026, at the same rates of up to 98.75%. The reduction is not automatic. Your company must first have taken remedial action, such as lodging the outstanding documents. Under the campaign, you then applied with an appeal letter. A few smaller changes Since 30 November 2024, companies can publish certain required notices on SSM's website instead of in a newspaper, for a fee of RM500. Since 10 January 2025, enforcement agencies, reporting institutions such as banks, and the Ministry of Finance can apply to SSM for a company's beneficial ownership information. Your checklist - Make sure the person who files for your company has a verified SSM4U account with CRS access. - Check whether your company has more than one type of share. If so, lodge under Practice Directive 11/2026 before 14 January 2027. - Review your beneficial ownership register. Lodge any changes in e-BOS within 14 days. - Confirm your next annual return date and your financial statement deadlines. - Lodge any overdue CRS documents before 31 December 2026, while the late fee waiver lasts. - Ask SSM about any outstanding compounds and whether they qualify for reduction before 31 December 2026.
