1. Who we are
Synco is the trading name of two entities that work together: Shukri Yusof & Co. (MIA Firm No. NF1688), which provides company secretarial, accounting, tax and advisory services, and EMSY Sdn. Bhd., which provides software, including emsy for HR and payroll, and technology services. Our office is at 138A, Jalan Tasek Timur, Pusat Perdagangan Tasek Indra, 31400 Ipoh, Perak. In these terms, “we” means the entity that issues your engagement letter or proposal, and “you” means the person or company we act for.
2. These terms and your engagement letter
These terms apply to your use of synco.my and to any enquiry, quotation request or booking you make through it. Before we start work, we send you an engagement letter or written quotation for that service. It sets out the scope, the fee, payment terms and any notice period. If it says something different from these terms, the engagement letter applies.
Sending a form, booking a call or asking for a quote does not commit you to engage us, and does not commit us to act for you until we have confirmed the engagement in writing. As a licensed firm, we must complete our client acceptance checks before we act.
3. Prices and quotes
Prices on this website are shown in one of three ways:
- Fixed: the price for the plan as described on the page, such as company secretary Basic at RM 600 a year.
- Indicative: the price we expect for most companies, such as incorporation at RM 2,500, which includes your company secretary for year 1. We confirm the exact figure in writing before we start.
- Quote after review or Custom quote: we review your company first and confirm the price in writing before we start.
A plan covers only what its page lists. For example, the Basic secretary plan covers the registered office address and reminders of statutory dates; annual return filing, AGM and EGM work and resolutions are charged separately. Closing a company does not include overdue filings. Work outside a plan, or catch-up work for earlier years, is quoted separately. Prices may change; the price that applies to you is the one in your written quotation or engagement letter.
4. Government fees and payment
Fees charged by SSM, LHDN and other authorities are passed through at cost and shown separately on your quotation, unless a price says it includes them (incorporation at RM 2,500 includes the SSM fee of RM 1,000, the name search and your company secretary for year 1). Penalties or compounds an authority imposes for events before we were engaged, or caused by information or documents reaching us late, are yours to pay. Payment terms are set out in your invoice or engagement letter.
5. What we need from you
Our work depends on the information and documents you give us. Please make sure they are complete, accurate and on time, tell us promptly when something changes (directors, shareholders, address, business activity), and sign or approve what we send you before the deadline. We are not responsible for a missed deadline or a penalty that results from information or approvals reaching us late, or from information that is incomplete or wrong.
6. Your money stays with you
We do not hold or pay out your money. On managed payroll, for example, we run payroll, prepare the bank payment files and file with the authorities, and you approve and make the payments from your own account. The same applies to tax, statutory contributions and government fees, unless your engagement letter says otherwise.
7. emsy and the client portal
emsy (emsy.my) is provided by EMSY Sdn. Bhd., and the client portal (client.synco.group) is where some services start and where you follow your requests. Each has its own sign-in and terms of use, which apply when you use them. You are responsible for keeping your sign-in details safe and for the data you or your staff enter.
8. Information on this website
Articles, guides and calculators on this website (including the PCB, zakat and fee calculators) are general information. They are not advice for your situation and may not reflect changes made after they were published. Please check the figures with us, or with the relevant authority, before you rely on them.
9. Confidentiality and personal data
Information you share with us, through a form, a call or otherwise, is kept confidential and used only to answer your enquiry or deliver the service you engage us for, except where the law or a regulator requires us to disclose it. How we handle personal data is described in our Privacy Notice.
10. Ending an engagement
Either side may end an engagement with the notice set out in its engagement letter. Fees for work already done, and government fees already paid on your behalf, remain payable. When you move to another provider, we hand over your statutory records as the law requires.
11. Limitation of liability
Our advice is based on the information available when it is given. Our liability for any engagement is limited as set out in its engagement letter and to the extent the law allows. We are not liable for losses caused by information that was incomplete, wrong or late, or by systems we do not control, such as government portals and banks.
12. Governing law
These terms, and any engagement arising from them, are governed by the laws of Malaysia.
